Welcome to Spawned. These Terms of Service ("Terms") govern your access to and use of the Spawned platform, including our website, the AI visibility audit, and our content generation, publishing, and hosting services (collectively, the "Service"). Please read these Terms carefully.

Important: By using Spawned, you agree to these Terms. If you do not agree, do not use the Service. These Terms include an arbitration agreement and class action waiver that affect your legal rights.

1. Acceptance of Terms

By accessing or using Spawned, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Spawned LLC ("Spawned," "we," "us," or "our") operates the Service. Our principal place of business is in the United States.

2. Description of Service

Spawned is an AI growth engine. The Service provides:

AI Visibility Audit: Automated analysis of how often AI assistants such as ChatGPT, Claude, and Gemini recommend a brand for category questions, including a visibility score, per-engine breakdown, and competitor comparison.
Content Generation: AI-assisted generation of structured web pages and content designed to improve visibility in AI answers and search engines.
Publishing and Hosting: Optional deployment of generated pages to a Spawned-hosted subdomain, a connected domain, or a supported content management system.
Ongoing Optimization: Recurring re-analysis and publishing on subscription plans.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use Spawned. By using the Service, you represent and warrant that you meet this requirement and that your use complies with all applicable laws in your jurisdiction. You represent that you are not on any government sanctions list and are not located in a sanctioned country.

4. Account Registration

To access certain features, you must create an account. You may register using:

You are responsible for maintaining the security of your account credentials and for all activity under your account. You agree to notify us immediately of any unauthorized access.

5. Subscriptions, Billing, and Cancellation

5.1 Plans and Payment

Certain features require a paid subscription. Prices are shown on our pricing page. Paid plans are billed on a recurring monthly basis until cancelled. Payments are processed by a third-party payment processor; we do not store your full card details.

5.2 Cancellation and Refunds

Plans are month to month. You may cancel at any time from the billing portal linked in your account and in every billing email; cancellation stops future renewals. If you cancel, you retain access through the end of your current billing period, and we provide a 30-day cancellation grace period as described at checkout. Except where required by law or expressly stated, fees already paid are non-refundable.

6. Your Content and Generated Content

6.1 Your Content

"Your Content" includes any domains, brand information, text, and materials you provide to the Service. You retain ownership of Your Content. You grant Spawned a worldwide, non-exclusive, royalty-free license to use, reproduce, and process Your Content solely to operate and provide the Service to you.

6.2 Generated Content

Subject to your compliance with these Terms and payment of applicable fees, you own the pages and content Spawned generates for you, and you may export them at any time. You are responsible for reviewing published content and for ensuring it is accurate and complies with applicable laws and any third-party platform rules that apply to your site.

6.3 Nature of AI Output

Spawned uses artificial intelligence to generate content. AI-generated output may contain errors or inaccuracies and is provided "AS IS." You are solely responsible for reviewing content before it is published under your brand or on your domain.

7. Acceptable Use

You agree NOT to:

Use the Service for any illegal purpose or to publish unlawful, infringing, defamatory, or fraudulent content
Generate or publish content that infringes any third party's intellectual property, privacy, or publicity rights
Use the Service to create deceptive, spam, or manipulative content that violates search engine or AI platform guidelines
Attempt to gain unauthorized access to, scrape, or disrupt our systems (except for standard search-engine and AI crawlers accessing published pages)
Resell or provide the Service to third parties except under a plan that expressly permits it

8. Intellectual Property

8.1 Spawned IP

The Service, including its design, software, and features (excluding Your Content and Generated Content), is owned by Spawned and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works of the Service without our written permission.

8.2 DMCA

If you believe content associated with Spawned infringes your copyright, please send a DMCA notice to legal@spawned.com including: identification of the copyrighted work; identification of the infringing material and its location; your contact information; a statement of good faith belief that the use is unauthorized; a statement under penalty of perjury that the information is accurate; and your physical or electronic signature.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. SPAWNED DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

SPAWNED DOES NOT GUARANTEE ANY SPECIFIC SEARCH RANKING, AI CITATION, TRAFFIC, LEAD, OR REVENUE OUTCOME. VISIBILITY IN SEARCH ENGINES AND AI ASSISTANTS DEPENDS ON THIRD-PARTY SYSTEMS OUTSIDE OUR CONTROL.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPAWNED AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL SPAWNED'S TOTAL LIABILITY EXCEED THE GREATER OF: (A) THE FEES YOU PAID TO SPAWNED IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless Spawned and its affiliates, officers, members, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) Your Content or content you publish; (c) your violation of these Terms; or (d) your violation of any third party's rights.

12. Dispute Resolution

12.1 Arbitration Agreement

You and Spawned agree to resolve any disputes through binding individual arbitration rather than in court. This includes disputes arising from these Terms, the Service, or any related matters. Arbitration shall be conducted by JAMS under its Streamlined Arbitration Rules, remotely or at a mutually agreed location. The arbitrator's decision is final and binding.

12.2 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.

12.3 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

13. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any litigation not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

14. Modifications

We may modify these Terms at any time. Material changes will be notified via email or a prominent notice on the Service. Your continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Service.

15. Termination

We may suspend or terminate your access at any time, for any reason, with reasonable notice where practicable. Upon termination, your right to use the Service ceases, though you may export your Generated Content as described above. Provisions that by their nature should survive (including disclaimers, limitations of liability, and arbitration) will survive termination.

16. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Spawned.
Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
Waiver: Failure to enforce any provision does not constitute a waiver.
Assignment: You may not assign these Terms. Spawned may assign them freely.
Force Majeure: Spawned is not liable for delays or failures due to circumstances beyond our reasonable control.
