Terms of Service

Welcome to Spawned. These Terms of Service ("Terms") govern your access to and use of the Spawned platform, including our website, applications, AI building tools, product discovery features, and optional token launch functionality (collectively, the "Service"). Please read these Terms carefully.

1. Acceptance of Terms

By accessing or using Spawned, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Spawned, Inc. ("Spawned," "we," "us," or "our") is a Delaware corporation. Our principal place of business is in the United States.

2. Description of Service

Spawned provides a platform that combines:

• AI-Powered Building: Tools that allow you to describe products in natural language and generate functional websites and applications using artificial intelligence.
• Product Discovery: A community-driven platform for launching, discovering, and supporting digital products.
• Optional Token Launch: The ability to create and launch digital tokens on the Solana blockchain using a bonding curve mechanism.
• Community Features: Comments, upvotes, follows, leaderboards, and social engagement tools.

3. Eligibility

3.1 Age Requirements

You must be at least 18 years old (or the age of majority in your jurisdiction) to use Spawned. By using the Service, you represent and warrant that you meet this requirement.

3.2 Geographic Restrictions

Token launch and trading features are NOT available to residents or citizens of:

• The United States (for token purchases and trading)
• United Kingdom
• Any jurisdiction where such activities are prohibited by law
• Countries subject to OFAC sanctions

The AI building and product discovery features may be used globally, subject to applicable laws.

3.3 Compliance

You are solely responsible for ensuring your use of the Service complies with all applicable laws and regulations in your jurisdiction. You represent that you are not on any government sanctions list and are not located in a sanctioned country.

4. Account Registration

To access certain features, you must create an account. You may register using:

• A Solana wallet (via wallet signature)
• Email (via magic link)
• Google OAuth
• GitHub OAuth

You are responsible for maintaining the security of your account credentials and wallet private keys. You agree to notify us immediately of any unauthorized access.

We will never ask for your private keys or seed phrase. Anyone requesting this information is attempting to scam you.

5. User Content

5.1 Your Content

"User Content" includes any content you submit, post, or display on Spawned, including but not limited to: project descriptions, comments, images, code, and token information.

You retain ownership of your User Content. By submitting User Content, you grant Spawned a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with operating and providing the Service.

5.2 Content Restrictions

You agree NOT to submit User Content that:

• Infringes any third party's intellectual property, privacy, or publicity rights
• Is false, misleading, defamatory, or fraudulent
• Promotes illegal activities or violates any applicable law
• Contains malware, viruses, or harmful code
• Is hateful, harassing, threatening, or discriminatory
• Impersonates any person or entity
• Manipulates or attempts to manipulate platform metrics (vote manipulation, fake engagement)
• Infringes trademarks or creates tokens that misleadingly reference existing brands

5.3 Content Removal

We reserve the right to remove any User Content at our sole discretion, without notice, for any reason, including violation of these Terms.

6. AI-Generated Content

6.1 Nature of AI Output

Spawned uses artificial intelligence to generate code, designs, and content based on your prompts. AI-generated output may contain errors, inaccuracies, or unintended content. You are solely responsible for reviewing and testing all AI-generated content before use.

6.2 Ownership of AI Output

Subject to your compliance with these Terms, you own the AI-generated content created using your prompts on Spawned. However, similar prompts from different users may generate similar output, and we do not guarantee uniqueness.

6.3 No Warranty

AI-generated content is provided "AS IS." We make no warranties regarding the accuracy, completeness, functionality, security, or fitness for any particular purpose of AI-generated content.

7. Token Launch & Trading

7.1 Token Creation

Spawned allows users to create digital tokens on the Solana blockchain. When you create a token:

• You are solely responsible for the token and any claims made about it
• You must not create tokens that infringe trademarks or impersonate existing projects
• You acknowledge the token has no intrinsic value and may become worthless
• You understand and accept all associated risks

7.2 Bonding Curve Mechanism

Tokens use a bonding curve for price discovery. The bonding curve is an automated market maker that determines token price based on supply. When a token raises 85 SOL on the bonding curve, it automatically "graduates" to a decentralized exchange (Raydium) with permanent liquidity.

7.3 Trading Risks

You acknowledge and accept:

• Token prices are extremely volatile and can drop to zero
• Spawned does not guarantee any returns or token performance
• Trading may result in complete loss of funds
• Past performance does not indicate future results
• Spawned is not a registered broker, exchange, or investment advisor
• Tokens may not be considered securities in some jurisdictions but may be in others

7.4 Fees

Token transactions on Spawned are subject to fees. Current fees include:

• 1.25% transaction fee on buys and sells during the bonding phase
• Creator rewards (0.30% of trading volume)
• Solana network transaction fees

Fees are subject to change with notice.

7.5 No Custody

Spawned is non-custodial. We do not hold, control, or have access to your funds or tokens. All transactions occur directly on the Solana blockchain through your connected wallet.

8. Prohibited Activities

You agree NOT to:

• Use the Service for any illegal purpose
• Circumvent geographic restrictions or access the Service using VPNs to evade restrictions
• Engage in market manipulation, wash trading, or artificial price inflation
• Create or promote pump-and-dump schemes
• Scrape, crawl, or use bots to access the Service (except as permitted for search engines)
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service to launder money or finance illegal activities
• Create tokens that impersonate existing cryptocurrencies, companies, or individuals
• Engage in vote manipulation or fake engagement

9. Intellectual Property

9.1 Spawned IP

The Service, including its design, features, and content (excluding User Content), is owned by Spawned and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works without our written permission.

9.2 DMCA

If you believe content on Spawned infringes your copyright, please send a DMCA notice to legal@spawned.com with:

• Identification of the copyrighted work
• Identification of the infringing material and its location
• Your contact information
• A statement of good faith belief that the use is unauthorized
• A statement under penalty of perjury that the information is accurate
• Your physical or electronic signature

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. SPAWNED DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

SPAWNED IS NOT A FINANCIAL ADVISOR, BROKER, OR FIDUCIARY. NOTHING ON THE SERVICE CONSTITUTES INVESTMENT, LEGAL, TAX, OR FINANCIAL ADVICE. YOU SHOULD CONSULT QUALIFIED PROFESSIONALS BEFORE MAKING ANY INVESTMENT DECISIONS.

SPAWNED DOES NOT ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PROJECTS, TOKENS, OR CONTENT CREATED OR SHARED BY USERS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPAWNED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR CRYPTOCURRENCY/TOKEN VALUE, ARISING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL SPAWNED'S TOTAL LIABILITY EXCEED THE GREATER OF: (A) THE FEES YOU PAID TO SPAWNED IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

12. Indemnification

You agree to indemnify, defend, and hold harmless Spawned and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third party's rights; or (e) any tokens you create or promote.

13. Dispute Resolution

13.1 Arbitration Agreement

You and Spawned agree to resolve any disputes through binding individual arbitration rather than in court. This includes disputes arising from these Terms, the Service, or any related matters.

Arbitration shall be conducted by JAMS under its Streamlined Arbitration Rules. The arbitration will take place in Delaware or remotely at your election. The arbitrator's decision is final and binding.

13.2 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.

13.3 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

14. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any litigation not subject to arbitration shall be brought exclusively in the courts of Delaware.

15. Modifications

We may modify these Terms at any time. Material changes will be notified via email or prominent notice on the Service. Your continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Service.

16. Termination

We may suspend or terminate your access at any time, for any reason, without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (including disclaimers, limitations of liability, and arbitration) will survive termination.

17. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Spawned.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any provision does not constitute a waiver.
• Assignment: You may not assign these Terms. Spawned may assign them freely.
• Force Majeure: Spawned is not liable for delays or failures due to circumstances beyond our reasonable control.
